FOR
APPALACHIAN HERITAGE QUILTERS GUILD

The name of the organization shall be Appalachian Heritage Quilters.

The purpose of this organization shall be:

  • To preserve and promote the art of quilting through the improvement of skills with classes, seminars, and workshops; and
  • To promote a Christian fellowship by exchanging ideas, patterns, and skills through meetings and newsletters.

Membership

Membership is open to all quilters age eighteen (18) and older.  Members fifteen (15) to seventeen (17) years old will be accepted with written permission from the parent/guardian.

Dues will be Twenty ($20) Dollars each year.

One (1) vote is allowed per member.

Visitors may attend two (2) meetings before paying dues and joining the membership.

Meetings

Meetings shall be held at locations determined by the Board.

Meetings shall be held on the third (3rd) Thursday of each month.

An AHQ Sit and Sew will be held the first Thursday of the month at locations determined by the Board.

A quorum of one-fourth (1/4th) of membership shall be required to transact business.  A simple majority of members present can approve motions.

Members shall be notified of cancelled or rescheduled meetings due to weather by e-mail, Facebook, website, and/or phone.

 By-Laws

The Board will give members proposed changes for consideration one month in advance of the vote.  By-laws may be changed by a two-thirds (2/3) vote of members present.

Officers and Board

The Board shall consist of the following seven (7) officers.

The Board will meet as needed to plan guild business, make recommendations to membership on business, and decide on the dispensing of guild funds.  The guild’s fiscal year shall be June 1 through May 31.  The Board shall create a Proposed Budget for each fiscal year and present it to the members in August.

A majority vote of Board members is required before recommendations are presented to membership for a vote.

Elected officers shall serve for a one (1) year term.  Terms will run from June 1 through May 31 each year. Elections will be held at the May meeting each year.

President.  The President shall preside over all the business meetings, be a co-signer on checks with the Treasurer and Vice Presidents (2 of the 3 signatures required), and appoint a nominating committee in March when appropriate.

There shall be two (2) Vice Presidents.  Either of the Vice Presidents shall preside in the absence of the President.  The Vice Presidents shall be:

Vice President for Programs.  The Vice President for Programs shall be responsible for and plan and coordinate all programs, classes, and workshops.

Vice President for Quilt Show.   The Vice President for Quilt Show shall be responsible for and plan and coordinate all Quilt Show activity and aspects.  The Vice President for Quilt Show may have a “co-chairperson” to help with this endeavor.  If so, the co-chairperson may attend the meetings of the Board.

Recording Secretary.  The Recording Secretary shall keep a record of all business and board meetings, along with a record of attendance of all meetings.

Treasurer.  The Treasurer shall receive and hold all funds, paying financial obligations as directed by the Board, and shall notify members of dues payable.  The AHQ fiscal year will be June 1 – May 31 each year.

Corresponding Secretary. The Corresponding Secretary shall create and distribute a monthly newsletter to all members. They will also coordinate all communication within the guild.

Annual Audit.   Each July, a committee shall audit guild financial records of the just concluded fiscal year (ending May 31st).  The audit committee shall consist of:  President, Past-President, and two (2) additional members selected by the Guild.  If there is a new in-coming Treasurer, they will also serve on the committee.  The Treasurer of the just concluded fiscal year will attend the audit, make available all financial records of the previous fiscal year, answer questions, and assist the audit committee as needed.

Chaplain. The Chaplain shall maintain a system of support for members through prayer requests concerning their immediate families, congratulations, and condolences, as appropriate.  They shall provide prayer and inspirational moments at meetings and at other activities as requested by the Board.

 Standing Committees.

Standing committees will be assigned to work on special projects as directed by the Board.  These standing committees shall be led by an appointed chair and shall be:  Auction, Charity, Christmas Party, Membership, Retreats, Newsletters, and Website.  Additional committees may be created by the Board as necessary. The Membership Chair will assist the Guild Officers with membership related duties as needed (attendance records, directory, dues notices, etc.).  Guild property and storage shall be administered by the Board.

Miscellaneous.

In the event a Board member cannot complete her term, the President, with the approval of the Board, shall appoint a replacement to serve until the end of the term.

For the safety of all concerned, children will not be permitted at guild business meetings, sit and sews, or other activities.

All business of this guild shall be conducted according to ROBERT’S RULES OF ORDER.
